Terms of Use

1. Agreement

These Terms of Use (“Terms”) govern your access to and use of PayCall.ai and related services (the “Service”) provided by PayCall, Inc. (“PayCall”, “we”, “us”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

The Service allows you to interact with third-party artificial intelligence models and related tools. Outputs are generated automatically and may be incorrect, incomplete, biased, or outdated. You are solely responsible for evaluating outputs and for any decisions or actions you take based on them.

We may modify, suspend, or discontinue features or the Service as a whole, for example for security, legal, or operational reasons. Where required by law or material to your use, we will provide reasonable notice.

3. Eligibility and accounts

You must be old enough to enter a binding contract in your jurisdiction and not barred from using the Service under applicable law. You agree to provide accurate account information and to keep your credentials confidential. You are responsible for all activity under your account unless you notify us of unauthorized use without undue delay.

4. Acceptable use

You agree not to, and not to assist others to:

  • Use the Service in violation of law or third-party rights, including intellectual property, privacy, or publicity rights.
  • Attempt to probe, scan, or test the vulnerability of the Service, breach security or authentication measures, or access data or systems without authorization.
  • Overload, disrupt, or interfere with the Service or other users’ use (for example by automated scraping or denial-of-service activity), except as expressly permitted in writing.
  • Upload malware or content designed to harm systems or users, or use the Service to generate unlawful, defamatory, harassing, hateful, or exploitative content.
  • Reverse engineer or circumvent technical limitations of the Service, except where such restrictions are prohibited by applicable law.

5. Your content and license to us

You retain rights in content you submit to the Service, subject to these Terms. To operate and improve the Service, you grant PayCall a non-exclusive, worldwide license to host, store, reproduce, transmit, display, and create technical copies of your content as reasonably necessary to provide the features you use (including processing through subprocessors).

You represent that you have the rights needed to submit your content and that doing so does not violate law or third-party rights.

6. Subscriptions, fees, and taxes

Some features require a paid subscription. Fees, billing cycles, and renewal terms are presented at checkout or in your account. Unless stated otherwise, subscriptions renew automatically until cancelled in accordance with the cancellation flow we provide.

Payments are processed by third-party payment providers. You authorize us and our payment providers to charge your selected payment method. Taxes may be added where required by law.

Except where mandatory consumer law provides otherwise, fees are generally non-refundable once the billing period has started; any statutory withdrawal or cooling-off rights remain unaffected where applicable.

7. Third-party services

The Service integrates third-party models, APIs, and infrastructure. Your use of those components may also be subject to the providers’ terms and policies. We are not responsible for third-party services we do not control.

8. Intellectual property

PayCall and its licensors own the Service, including software, branding, and documentation, excluding your content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal or personal purposes in line with your plan.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PAYCALL NOR ITS SUPPLIERS OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the extent permitted by law, PayCall’s aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amounts you paid to PayCall for the Service in the twelve (12) months before the event giving rise to liability, or (b) one hundred U.S. dollars (USD 100), except where liability cannot be limited under mandatory law (for example in cases of intent, gross negligence, or injury to life, body, or health under German or EU consumer law).

11. Indemnity

You will defend and indemnify PayCall and its affiliates, officers, and employees against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your content, your violation of these Terms, or your violation of law or third-party rights, except to the extent caused by PayCall’s willful misconduct.

12. Suspension and termination

We may suspend or terminate access to the Service if you materially breach these Terms, if we are required to do so by law, or to protect the security or integrity of the Service. You may stop using the Service at any time and may request account deletion where we offer that option.

Provisions that by their nature should survive (including ownership, warranty disclaimers, limitations of liability, and governing law) will survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules that would apply another law, subject to any mandatory rights you have as a consumer under the laws of your country of habitual residence.

Except where mandatory law requires otherwise, exclusive jurisdiction for disputes arising out of or relating to these Terms lies with the state and federal courts located in Delaware, and you consent to personal jurisdiction there.

14. Changes

We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. If changes are material, we will provide additional notice as required by law. Continued use after the effective date constitutes acceptance of the revised Terms, except where your explicit consent is required.
